These Terms govern your use of the Panda Logica website and our MBI software. Please read them carefully.

**Agreement to Terms:** By accessing or using our service, you agree to be bound by these Terms of Service. If you disagree with any part of the terms, then you may not access the service.
1. Account Registration and Access
To access certain features of MBI, you must register for an account. You agree to:

1. Provide **accurate and complete** registration information. 2. Maintain the security of your **password** and identification. 3. Notify us immediately of any unauthorized use of your account. 4. Be fully responsible for all activities that occur under your account.
2. Subscriptions and Payment
2.1 Billing and Renewal
The MBI Service is billed on a **subscription basis** (monthly or annually). You will be billed in advance on a recurring and periodic basis ("Billing Cycle"). At the end of each Billing Cycle, your Subscription will automatically renew under the exact same conditions unless you cancel it or Panda Logica cancels it.
2.2 Fee Changes
Panda Logica, in its sole discretion and at any time, may modify the Subscription fees. Any Subscription fee change will become effective at the end of the then-current Billing Cycle. We will provide you with reasonable prior notice of any change.
2.3 Refunds
Except when required by law, paid Subscription fees are **non-refundable**.
3. User Data and Data Ownership
3.1 Your Data Ownership
You retain all rights, title, and interest in and to the data you connect, submit, and upload to the MBI Service ("User Data"). Panda Logica does not own or have any rights to your User Data.
3.2 Data Connection and Security
You are solely responsible for securing your own **data connection credentials** and ensuring that your User Data complies with all applicable laws. Panda Logica implements industry-standard security measures to protect the metadata and usage data collected but holds no liability for security breaches arising from your negligence.
4. Acceptable Use Policy (AUP)
You agree not to use the Service:

- For any unlawful purpose or to solicit others to perform or participate in any unlawful acts. - To violate any international, federal, provincial, or state regulations, rules, laws, or local ordinances. - To harass, abuse, insult, harm, defame, slander, disparage, or discriminate based on gender, sexual orientation, religion, ethnicity, race, age, national origin, or disability. - To upload or transmit viruses or any other type of malicious code that will or may be used in any way that will affect the functionality or operation of the Service.
5. Termination
We may terminate or suspend your account immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach the Terms. If you wish to terminate your account, you may simply discontinue using the Service and request account deletion via the dashboard settings.
6. Limitation of Liability
In no event shall Panda Logica, nor its directors, employees, partners, agents, suppliers, or affiliates, be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from: (i) your access to or use of or inability to access or use the Service; (ii) any conduct or content of any third party on the Service; (iii) any content obtained from the Service; and (iv) unauthorized access, use, or alteration of your transmissions or content, whether based on warranty, contract, tort (including negligence) or any other legal theory.
7. Governing Law
