End User License Agreement (EULA)

This End User License Agreement (“Agreement”) is a legal agreement between you (“Licensee”, “you”) and Panda Logica Ltd (“Licensor”, “we”, “our”, “us”) for the use of the MBI software product (“MBI”, “the Software”). By installing, copying, or otherwise using MBI, you agree to be bound by the terms of this Agreement. If you do not agree, do not install or use MBI.

1. License Grant

• We grant you a limited, non-exclusive, non-transferable license to install and use MBI on devices within your organization, subject to your active subscription and these terms.
• You may use MBI only for your internal business purposes.

2. Restrictions

You may not: - Copy, modify, or create derivative works of the Software. - Reverse engineer, decompile, or disassemble the Software, except where permitted by law. - Rent, lease, lend, sublicense, or distribute the Software to third parties. - Circumvent license enforcement mechanisms or share license keys outside your organization.

3. Ownership

• MBI is licensed, not sold.
• All rights, title, and interest in and to the Software remain with Panda Logica Ltd.
• This Agreement does not grant you any rights to trademarks or service marks of Panda Logica Ltd.

4. Subscription and Activation

• Your right to use MBI is conditional upon payment of applicable subscription fees.
• The Software may require activation and periodic license validation.
• If your subscription expires or is terminated, your license to use MBI ends immediately.

5. Updates and Support

• We may provide updates, patches, or enhancements from time to time.
• Some updates may be required for continued use.
• Support is available as described in your subscription plan.

6. Termination

• This Agreement is effective until terminated.
• We may terminate it if you fail to comply with any term.
• Upon termination, you must cease all use and uninstall all copies of the Software.

7. Disclaimer of Warranty

• MBI is provided “as is” and without warranties of any kind, whether express or implied.
• We do not warrant that MBI will be error-free, uninterrupted, or meet your requirements.

8. Limitation of Liability

• To the maximum extent permitted by law, Panda Logica Ltd shall not be liable for any indirect, incidental, or consequential damages.
• Our total liability shall not exceed the amount you paid for the subscription in the 12 months preceding the claim.

9. Governing Law

• This Agreement shall be governed by the laws of England and Wales.
• Any disputes shall be resolved exclusively in the courts of England and Wales.

10. Entire Agreement

• This Agreement, along with our Terms and Conditions and Privacy Policy, constitutes the entire agreement between you and Panda Logica Ltd regarding MBI.
