These Terms and Conditions (“Terms”) govern your access to and use of the MBI software (“MBI”, “the Software”), provided by Panda Logica Ltd (“we”, “our”, “us”). By installing, accessing, or using MBI, you agree to be bound by these Terms. If you do not agree, do not install or use the Software.

1. License

• We grant you a non-exclusive, non-transferable license to use MBI for your internal business purposes, subject to these Terms and your subscription plan.
• You may not sell, sublicense, rent, lease, distribute, or otherwise transfer the Software to any third party.
• All rights not expressly granted remain with Panda Logica Ltd.

2. Subscription and Payment

• Use of MBI requires a valid subscription. Pricing and tiers are available on our website.
• Subscriptions are billed via our payment processor (e.g., Stripe) in advance and are non-refundable, except where required by law.
• Failure to pay may result in suspension or termination of access.

3. User Accounts

• You are responsible for maintaining the confidentiality of your login credentials.
• You are responsible for all activity under your account.
• You must notify us immediately of any unauthorized use or security breach.

4. Acceptable Use

You agree not to: - Reverse engineer, decompile, or attempt to extract source code. - Bypass security features or license restrictions. - Use MBI for unlawful purposes or in violation of applicable laws. - Share license keys or access with unauthorized users.

5. Data and Privacy

• MBI processes data from your systems as configured by you. You are solely responsible for ensuring you have rights to that data.
• Our Privacy Policy explains how we handle personal data.
• We do not claim ownership of your data.

6. Availability and Updates

• We strive to keep MBI available and up-to-date but make no guarantee of uninterrupted service.
• We may provide updates, enhancements, or patches. Some updates may be mandatory for continued use.

7. Intellectual Property

• MBI and all related materials are protected by copyright, trademark, and other intellectual property laws.
• Panda Logica Ltd retains all ownership rights.

8. Termination

We may suspend or terminate your license if you: - Breach these Terms, or - Fail to pay subscription fees.

Upon termination, you must stop using MBI and uninstall all copies.

9. Disclaimer of Warranties

• MBI is provided “as is” without warranties of any kind, whether express or implied.
• We do not warrant that MBI will be error-free, uninterrupted, or fit for a particular purpose.

10. Limitation of Liability

To the maximum extent permitted by law: - Panda Logica Ltd shall not be liable for any indirect, incidental, or consequential damages. - Our total liability in connection with MBI shall not exceed the amount you paid in the 12 months preceding the claim.

11. Governing Law

• These Terms are governed by and construed in accordance with the laws of England and Wales.
• Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.

12. Changes

• We may update these Terms from time to time.
• The updated Terms will be posted on our website and, where required, notified to you in advance.
• Continued use of MBI after updates means you accept the revised Terms.
